1. About these terms

These terms are the contract between PharmSoft Solutions Ltd and the pharmacy that uses Dossette Rx Pro. By setting your password or using the service, you agree to them.

Us: PharmSoft Solutions Ltd, registered in England and Wales, company number 17296407, of 66 Paul Street, London, EC2A 4NA ("PharmSoft", "we", "us").

You: the pharmacy named on your account ("you", "the Pharmacy"), including the staff you allow to use it.

Definitions

  • Service: the Dossette Rx Pro web application, its content, design, code and printed outputs.
  • Account: the login we create for your pharmacy.
  • Pharmacy Data: the patient and staff information you enter into the Service.
  • DPA: our Data Processing Agreement, which forms part of these terms and governs how we handle Pharmacy Data. If the DPA and these terms conflict on data protection, the DPA wins.
  • Privacy Notice: published at dossetterxpro.com/privacy.

2. Your account, licence and payment

We grant you a non-exclusive, non-transferable licence to use the Service for your own pharmacy's MDS work, for as long as your subscription is active.

  • One pharmacy only. The licence covers the single pharmacy named on your account. Each further branch or premises needs its own account.
  • Your logins. Keep your password confidential and only let your own staff use the Account. You are responsible for everything done under it. Tell us straight away at support@dossetterxpro.com if you think it has been misused.
  • Free trial. We may offer a free trial of up to 12 weeks. At the end of the trial you may subscribe or stop. If you stop, clause 6 applies to your data.
  • Fees. The subscription fee is [price] per [month/year], payable [in advance] by [payment method]. Prices exclude VAT where applicable.
  • Late payment. If a payment is more than 7 days overdue, we may suspend the Account after giving you notice. We will restore access once payment is made.
  • Price changes. We will give you at least 30 days' notice of any price change.

3. Acceptable use and intellectual property

The Service and everything in it belong to PharmSoft Solutions Ltd. This includes its software, code, design, layout, workflows, text, logos and printed formats. Using the Service does not transfer any of these rights to you.

You must not, and must not let anyone else:

  • copy, reproduce, adapt or create a product based on the Service or any part of it;
  • reverse-engineer, decompile or try to extract its source code or database structure;
  • share your login, or give access to anyone outside your pharmacy;
  • share screenshots, recordings, printouts or descriptions of the Service with any third party, including another software provider, except a regulator, NHS body or inspector who asks to see your records;
  • resell, sublicense or rent the Service;
  • use the Service for anything unlawful, or try to break or bypass its security.

Printouts of your own patients' records (master sheets, reorder requests, delivery lists) are yours to use in running your pharmacy.

A breach of this clause is a serious breach of these terms. Clause 6 explains what happens next.

4. Clinical responsibility and your data

Clinical responsibility stays with you. Dossette Rx Pro is an administrative tool to help organise MDS work. It does not give clinical advice and does not replace professional judgement. Your pharmacists and staff remain responsible for:

  • checking that medication schedules, doses and compartment contents are correct against the current prescription;
  • the clinical and accuracy check of every tray before it is supplied;
  • meeting your own legal, regulatory and professional duties, including those of the GPhC and NHS.

Your data. You own the Pharmacy Data and are its data controller. We process it only on your instructions, as set out in the DPA. You are responsible for having a lawful basis to enter it and for keeping it accurate.

How we protect it. Pharmacy Data is stored in the UK (London), encrypted at rest and in transit, and backed up daily. Each pharmacy's data is kept separate from every other pharmacy's. Our own access is limited to support you, and is logged. The DPA gives full details, including our sub-processors.

Exporting your data. You can ask us for a copy of your Pharmacy Data at any time.

5. Availability, support and liability

Availability. We aim to keep the Service available at all times, but cannot guarantee it will be uninterrupted or error-free. We will try to give notice of planned maintenance. You should keep a way of continuing essential MDS work if the Service is briefly unavailable, such as your latest printed master sheets.

Support. Email support@dossetterxpro.com. We aim to reply within 4 hours.

Changes to the Service. We may improve or change features. We will not remove a core feature you rely on without reasonable notice.

Our liability.

  • Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
  • We are not liable for loss of profit, revenue, business or goodwill, or for any indirect or consequential loss.
  • We are not liable for loss caused by errors in data you enter, or by a clinical decision or check made by you or your staff.
  • Otherwise, our total liability in any 12 months is limited to the fees you paid us in that period.

Your liability. You are responsible for loss we suffer because you breach clause 3 or misuse the Service.

6. Suspension, termination and your data

Ending by you. You can cancel at any time by emailing support@dossetterxpro.com. Cancellation takes effect at the end of the period you have paid for.

Breach of these terms. If you breach clause 3, or seriously or repeatedly breach any other term, we may suspend your Account immediately and terminate your licence by written notice.

Ending by us for other reasons. We may end the Service for all customers with at least 90 days' notice, and will refund any fees paid for the period after it ends.

What happens to your data. However the licence ends, your data is handled under clause 9 of the DPA:

  1. You have 30 days to ask for an export of your Pharmacy Data. If your Account was suspended for breach, we will provide the export to you directly rather than restore access.
  2. We then delete Pharmacy Data from the live system within a further 30 days.
  3. Copies in our backups are deleted as those backups expire.
  4. We will confirm deletion in writing on request.

This protects your patients' records while ending your use of the Service.

7. General

  • Changes to these terms. We will give at least 30 days' notice by email of any material change. Continuing to use the Service after that means you accept the change.
  • Assignment. You may not transfer the Account or these terms without our written consent.
  • Entire agreement. These terms, the DPA and the Privacy Notice are the whole agreement between us.
  • Governing law. These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
